Minutes from 2/22/16 Meeting (approved 3/28/16)

REGULAR MEETING
Monday, February 22nd, 2016

President Jacobs called the meeting to order at 6:00 PM and Director Stapp led the group in the flag salute. Directors Jacobs, Stapp, Wilkey, and Hayhurst were all present. Director Schendel was expected to arrive late. There were no guests in attendance.

The Consent Items were reviewed. Director Stapp motioned to accept the Minutes of the January 25th, 2016 Meeting, along with the Financial Reports for January of 2016 as presented. Director Wilkey seconded the motion. The motion carried unanimously.

The Correspondence file was offered for review. President Jacobs announced one item, a letter from LAFCO seeking an “alternate public member,” for their Board. The Secretary will post the notice outside on the Bulletin Board. Director Schendel arrived and entered the meeting at 6:05 PM.

Barstow Heights Park was addressed. The Safety Check List from the City was reviewed. There were no safety or maintenance issues reported in the past month. The grass had been fertilized with Nitra King Fertilizer. President Jacobs reported that he hadn’t seen very many ground squirrels. He chased one into a hole last week and set off a gas cartridge right then, but other than that one, he hadn’t seen any others in weeks.

The Long Range Plans and an update on Bid 01-15 (one shade canopy and tables) was addressed next. President Jacobs reported that he had talked with Jerry Linebaugh again, and unfortunately no new progress had been made that he was aware of. The County and the supplier were still working together to get their product certified/approved to be installed. He hopes to have more information about progress made by next month’s meeting. The installation of shade canopies over the playground equipment was discussed briefly, and the Director’s agreed that the costs of the project were so much higher than anticipated and were not a good enough value to justify spending tax-payer money on. The secretary will file away the estimates for future reference if they decide to visit the idea again, but all agreed that the project be put on hold for now.

The planting of more trees (south west side of park) was addressed next. President Jacobs stated that this was the right time of year to be planting them, but until the new canopy is completed and in place, it will be difficult to determine the best locations where to plant them. Director Hayhurst reported that when she had visited the City recently, the groundskeepers had told her that they were really concerned about the Cottonwood trees. Most are past their life expectancy (of 30 years), have begun dying, have root balls that are above the ground, and are at risk for blowing over in the wind. They asked her to encourage the Board of Directors to consider removing and replacing them as soon as possible. After further discussion, President Jacobs suggested that he would come back next month with a sketch prepared to help the Board determine at least a few places where new trees can be planted as soon as possible (more trees near the canopy area can always be added later). Director Wilkey suggested that the Board consider spending a little more money this time to purchase more established/grown/larger trees to replace any that may need removing. They will also discuss next month whether or not planting new trees in the 15-foot easement area (just outside the fence on the west side) is a possibility.

Lastly, the Secretary reported that she was really pleased that after she had called Edison to report dim street lamps a few weeks ago, they did come and replace the light bulbs in the two street lamps (one outside the office and the other near the basketball court/restrooms) that needed them. She had also been successful at reaching them by phone to discuss the addition of a new street lamp on the east side of the basketball court. She was reassured that they will be calling her to set up a meeting time to get that project started finally. President Jacobs added that he happened to be here when the Edison worker was up in his bucket changing the bulbs, and that the worker reminded him that our security cameras are illegally mounted to their poles, so that is also something that needs fixing. The Secretary reported that Hi-Desert Alarm will be coming on Wednesday 2/24 to give an estimate/bid on a new security system and that she will be sure to ask that the bid specifies that cameras will not be mounted onto Edison’s poles.

Venner Park was addressed. The Safety Check List from the City was reviewed. There were no safety or maintenance issues reported in the past month. The grass had been fertilized with Nitra King Fertilizer. Director Stapp reported that he had recently noticed that metal caps along the top edge of the chain-link fence were cracked/broken (as if someone may have taken something heavy and intentionally crushed them) and he was concerned that the sharp edges might be a safety issue. The Secretary was directed to call Ellis Fence Company and ask them to come inspect and give an estimate to fix/replace them. If the cost is less than $200, the General Manager can give the approval to fix them right away.

The Office Building and Compound were addressed. Director Hayhurst was excited to show the Board how clean and organized the kitchen was now that she and President Jacobs had come and cleaned it out last Friday. In just one hour and a half, they had made a huge difference in how nice and clean it appeared (even the insides of the cabinets were cleaned out). She proposed that the Board consider painting the cabinets, replacing the hardware, adding new countertops, new faucet hardware, and new lighting over the sink, as well as new flooring (covered, not replaced). The Secretary was directed to go ahead and request an estimate from JDR Construction and someone else if necessary.

The Landscaping Bids from Unique Landscaping were addressed next. Both Estimate 81 (new landscaping around the office building) and Estimate 82 (new landscaping around the basketball court) were discussed in detail. Director Wilkey motioned that the Board approve Estimate 81 and hire Unique Landscaping to do the work specified outside the office building for $9,650. Director Hayhurst seconded the motion. The motion passed unanimously. Director Hayhurst motioned to approve Estimate 82 and hire Unique Landscaping to do the work specified for $26,800. President Jacobs seconded the motion. Discussion about the Estimate continued, including discussion about the additional bid from New Desert Gardens Nursery and Landscape for $27,980. Director Wilkey raised a point of order. He asked to abstain from the vote due to the fact that his daughter is married to the son of the owner of Unique Landscaping, just in case there is any potential that conflict of interest concerns be raised. He didn’t feel that there were any conflict of interest concerns with the first bid (Estimate 81), because the job was for less than $10,000 and therefore, there were no competing bids to be considered. Discussion continued on the larger Bids and not all of the Directors agreed that a “beautification project” was worth spending that much money on. Director Stapp had concerns that the two figures received were “too much on the high side”, and suggested that the District reach out (even beyond Barstow if need be), to get at least a couple more bids for the project before approving it. The Secretary was directed to try contacting a few more landscaping businesses (located in Barstow or High Desert only) to get at least two more bids for the project. Director Hayhurst reminded the board that there was already a motion on the table, so after further discussion they decided to kill the motion with a vote of 4 Nayes, 0 Ayes, and 1 Abstained (Director Wilkey).

President Jacobs presented a sketch (drawing) that he had come up with detailing the measurements of the easements and right-of-ways surrounding Barstow Heights Park. At this point, the diagram is for informational purposes only, to help the Board determine at future meetings whether adding sidewalks and curbs will be feasible. Director Schendel suggested that a DG (decomposed granite) pathway could be put in as an alternate way of beautifying the outside perimeters of the park, if sidewalk improvements that fit within the public right-of-way are not possible. President Jacobs provided a copy of the sketch to the Secretary also.

Form 700 was addressed next. Directors were given their copies to review and sign or notify the Secretary if any corrections needed to be made. The Secretary will submit them to the County Board of Supervisors.

The Safety Review Report was read aloud by the Safety Coordinator, Director Wilkey. Director Schendel motioned to accept the Safety Review Report as presented. Director Hayhurst seconded the motion. The motion carried unanimously. The Secretary will submit the report to SDRMA.

The Policies and Procedures manual was addressed next. The Banking Policy was reviewed and a few minor changes were made. Director Hayhurst motioned to approve the Banking Policy as amended. Director Wilkey seconded the motion. The motion carried unanimously. The Records Retention Policy is the next one on the list to be reviewed and updated next month.

The General Manager reported that she had added the CD account balances, maturity dates, terms, and interest rates to the bottom of the monthly Financial Statement (as Director Wilkey had suggested at the last Board meeting) and that she will keep that information updated on future Financial Statements. She also informed the Board that she was dealing with some health issues and that she recently learned that it is a real possibility that she may need surgery (a Hysterectomy) within a few months. The Directors reassured her that a Board meeting could be skipped if she needed a few extra weeks off from work to recover. The Secretary agreed that she will work on getting ahead on her “to do” lists so that when the time comes, she will feel prepared to take the time off.

President Jacobs asked if any of the Directors had any Reports or anything further they wanted to discuss. Director Wilkey reported that a member of the public had brought to his attention a really neat piece of playground equipment. It was a swing that seats both a parent and a child together (separate seats facing each other on one swing). The Board agreed that they were interested in looking into it further. The Secretary will research it and get more information about purchasing and installing one.  Director Schendel reported a very large pothole on O Street and DeAnza. He also reported that a video camera suction-cupped to the interior of his neighbor’s car windshield was stolen recently by someone walking by. Director Hayhurst encouraged the entire Board to attend the MWA High Desert Water Summit coming up on April 13th at Barstow College and suggested that perhaps the District could cover the $10 cost for each of them to attend. The Secretary will add it to next month’s agenda for further discussion.

President Jacobs asked the Secretary if there were any additional bills to be presented. She indicated that there were none. Director Stapp motioned to pay all of the bills as presented. Director Schendel seconded the motion. The motion carried unanimously. There was no New Business to address and no Executive Session was requested.

The next Regular Meeting was scheduled for Monday, March 28th at 6:00 PM.
The meeting adjourned at 7:32 PM.

Minutes from 1/25/16 Meeting (approved 2/22/16)

Monday, January 25th, 2016

Vice President Stapp called the meeting to order at 6:01 PM and Director Hayhurst led the group in the flag salute. Directors Stapp and Hayhurst were present. The guests in attendance included the three newly re-appointed Directors, Dick Jacobs, Daryl Schendel, and Paul Wilkey. Vice President Stapp welcomed them to the meeting and the Secretary issued the Oath of Office to all of them. The newly sworn-in Directors signed their Oath of Office forms at 6:05 PM.

Vice President Stapp acknowledged that the Board was now fully staffed and that all Directors were present. The election of new board officers was addressed. Director Jacobs motioned to appoint Robert M. Stapp as the President of the board. He respectfully declined. Director Jacobs motioned to appoint Jeanette Hayhurst as the President of the board. She respectfully declined. Director Hayhurst motioned that the current officers remain as they were (Dick Jacobs as President, Robert Stapp as Vice President, Paul Wilkey as the Safety Coordinator, and Jeanette Hayhurst as the Clerk) for another year. Director Stapp seconded the motion. The motion carried 4-1, with Director Jacobs being the only opposing vote. Director Stapp turned over the rest of meeting to be presided over and conducted by President Jacobs. There were no additional guests or public comments/questions.

The Consent Items were reviewed. Director Schendel motioned to accept the Minutes of the November 17th, 2015 Meeting, along with the Financial Reports for November and December of 2015 as presented. Director Wilkey seconded the motion. The motion carried unanimously.

The Correspondence file was offered for review. President Jacobs reminded the board that Ethics Training (required course AB1234) is due to be completed again by four of the Directors (Jacobs, Schendel, Stapp, and Wilkey). The Secretary was directed to re-send the email that included the link and details about how to complete the course online, to those Directors that need to do it. The Secretary also called the Directors attention to the Christmas cards that had been received and displayed, as well as, the beautiful thank you card from Janet Fowler and the Kelley family, in appreciation for the Park Dedication Ceremony in November.

Barstow Heights Park was addressed. Director Wilkey reported to the Board that there would be no “Safety Check Lists” from the City to review this month. Mark Gerardi had contacted him to let him know that he had been sick and was not working for several days, so was unable to complete the report this time. He did confirm verbally over the phone that there were no safety or maintenance issues reported in the past month at either park. They will begin their annual tree trimming/maintenance soon, so the Board can expect to see that getting done within the next month or two. Director Hayhurst reported that she recently got a response from the water company about who to call when we are ready to set off more gas cartridges inside the locked water tower compound. Jesse Ramirez will be the contact person for that whenever we are ready to call again and coordinate that with them. President Jacobs reported that he had seen very little ground squirrel activity for the past 6-8 weeks, and suspects they had been hibernating. He did purchase some “solar-powered stakes” to use in his own yard and determine how well they work. Each stake creates a vibration underground that is supposed to irritate and keep ground squirrels away for up to 1/3 of an acre. He will let the Board know if they seem to work for him, given a little more time to see the results.

The newly updated list of Long Range Plans for Barstow Heights Park was addressed. President Jacobs reported that he had contacted Jerry Linebaugh for an update about the newest project (Bid 01-15), one shade canopy and tables to be installed on the south west side of the park. The County was still working with the shade canopy company to get their product certified/approved to be installed. The approval process shouldn’t add any additional costs to the project, but the manufacturer can’t manufacture them until they get the final approval from the County (which is why the order has been delayed for now).  President Jacobs also reported that in early December he had called and asked Jerry Linebaugh to “shoot us some elevations” to give the Board an idea about whether adding a retaining wall and sidewalk to the front (north) side of the park would be feasible. The grade between the end of the park and the road is over eight feet, which means that putting in a six-foot-tall retaining wall would not be up to code and thus, not allowed. It also meant there wouldn’t be enough room for a sidewalk/walkway outside of the wall, as originally discussed. The walkway would need to be located inside the retaining wall and fencing would need to moved, thus making the project more involved than originally anticipated. It doesn’t mean the project can’t happen, it would just require some extra work. Director Stapp asked about the possibility of setting-back the south side and adding a curb/sidewalk and main entrance to the park there. Director Hayhurst suggested that an entrance in the front could also be eliminated if need be to make it work. The Directors will think on it some more and continue discussing further ideas/options at the next meeting. Director Hayhurst asked for some clarification about a few of the items on the Long Range Plans list. President Jacobs directed the Secretary to add #10 on the list (Planting more trees on the south west side of park) to the Agenda to discuss at the next meeting.

Venner Park was addressed. There were no safety or maintenance issues reported in the past month to discuss. No items on the Long Range Plan list were discussed.

The Office Building and Compound were addressed. Director Hayhurst suggested that the Board look at making some upgrades to the exterior of the office building. She suggested that in addition to the new landscaping that had already been discussed and replacing the roof (which is set to be done in 2018), the building needs new stucco/paint and new windows, so it doesn’t look so outdated and uncared for. The improvements would increase neighborhood pride and positively impact property values. Director Schendel added his opinion that the money might be better spent going directly to things the people will actually get/use directly (park improvements). Director Hayhurst continued with “planting the seeds for future discussion,” and expressed her hope that more building upkeep will continue to be considered. She also suggested the addition of wrought-iron fencing (to replace chain-link fencing) at the parks as well, because it holds up much longer over time and looks so nice. Director Wilkey asked whether or not it was known for sure if and when the big water tank was going to be removed. Director Hayhust answered that the date is uncertain, only that the BLM and water company are working out the details of where a new one to replace it will be installed elsewhere, and that it could take less than another year or more (several years). Eventually though, the property will be given back to the District which will make the park larger, if that is how the District wants to use the extra land/space. Director Schendel added his suggestion that the security cameras at the office building need upgrading as well. The Secretary will contact Barstow/Hi Desert Alarm for an estimate on a new security system. The Secretary is also still working on getting a new computer and paper shredder purchased for the office. She also reported that President Jacobs had recently done a beautiful job building a protective box for and attaching a new door-bell to the bulletin board/gate in front of the office. She also reported that Unique Landscaping would be coming on Wednesday morning 1/27 to measure for and provide an estimate on the landscaping work that the Board had requested at the previous meeting. Director Wilkey suggested that she go ahead and request an additional estimate for adding compacted hard dirt known as “DG” (Decomposed Granite), to the area surrounding and outside of the basketball court as well. Director Schendel shared his idea that a special area set aside as a “bounce house pad” complete with electrical hook-ups could be added to the space where the water tanks currently are, once they are removed.

The final copy of the Audit Report was addressed. Director Wilkey motioned to accept and approve the annual financial Audit Report for the fiscal year ending June 30th, 2015. Director Schendel seconded the motion. The motion carried unanimously.

The Policies and Procedures manual was addressed next. The Secretary reported that she was currently still working on a new draft of the Banking Policy. She also needed a signature from the Board President on the official copy of the Purchasing Policy that had been approved at the November meeting, as well as a signature on some legal paperwork she needed to send back to the Auditor, so those items were signed. Additional policies that still need updating were discussed.

The General Manager reported that she was finishing up the 1099 forms for Director’s compensation pay and that they would be receiving those in the mail within the coming week. Director Hayhurst asked about Form 700 and the Secretary replied that they are due April 1st, and therefore would be on the next month’s Agenda to address and sign during the meeting. Lastly, she reported that her newest top priority would be to get Southern California Edison to come and fix the two street lamps right outside of the office that are very dim and flickering off most of the time, as well as make some progress on getting a response from and estimate for the addition of a new street lamp/pole on the east side of the basketball court.

President Jacobs asked if any of the Directors had any Reports or anything further they wanted to discuss. Director Wilkey had one more thing to request. He asked the Secretary if she could have a newly updated list of the CD’s and their maturity dates/rates available for the Directors to refer to at the next meeting. She will add and include those figures on the next financial reports she types up for the next board meeting.

President Jacobs asked the Secretary if there were any additional bills to be presented. She indicated that there were none. Director Hayhurst motioned to pay all of the bills as presented. Director Stapp seconded the motion. The motion carried unanimously. There was no New Business to address and no Executive Session was requested.

Minutes from 11/17/15 Meeting (approved 1/25/16)

REGULAR MEETING
Tuesday, November 17th, 2015

President Jacobs called the meeting to order at 6:01 PM and Director Schendel led the group in the flag salute. Directors Jacobs, Schendel, Stapp, and Wilkey were all present. Director Hayhurst was expected to arrive shortly. There was one guest in attendance, Mr. Paul Kaymark, the hired Auditor of the District and Certified Public Accountant with The Pun Group. There were no public comments/questions. Director Hayhurst entered the meeting at 6:04 PM.

The Auditor presented and briefly reviewed the Annual Financial Report with the Board of Directors for the fiscal year that ended on June 30th, 2015. The Auditor concluded that all of the information given to them in the report that evening was still in “draft” form, and that the Board should review it again carefully on their own and inform him of any edits/corrections that might be needed within one week. Then the Auditor will complete the “final” copy of the report and send it to the District by the end of the year. The Board thanked Mr. Kaymark for presenting his work and he left the meeting at 6:16 PM.

The Consent Items were reviewed. Director Stapp motioned to accept the Minutes of the October 26th, 2015 Meeting, along with the Financial Reports for October of 2015 as presented. Director Schendel seconded the motion. The motion carried unanimously.

The Correspondence file was offered for review.

Barstow Heights Park was addressed. The Safety Check List from the City was reviewed. There were no safety or maintenance issues reported in the past month. President Jacobs reported that he continues to set off gas cartridges outside of the Office Compound several times a month. The Ground Squirrels continue to re-dig their holes under and around the office building, but are not seen inside the fenced-in water tower compound as much anymore. The Directors discussed looking into “solar-powered stakes” that would add a vibration underground and could possibly keep the Ground Squirrels from tunneling under the office building more effectively.

The list of Long Range Plans for Barstow Heights Park was addressed briefly. The Secretary will have a revised and updated copy of the list ready for the Board to begin using again in January of 2016. President Jacobs reported that the newest project (Bid 01-15), one shade canopy and tables to be installed by Linebaugh Construction on the South West side of the park, is progressing. The Secretary had given them a deposit of $24,000 on 10/29 to pay for getting the shade structure and picnic tables ordered, as well as to get the engineering and permits started. Another $10,000 will be due once the cement slab is completed (possibly by mid-late January), and the final balance for the project will be due upon completion. President Jacobs reported that he and the General Manager had also met with Brian Donohue, Senior Regional Manager of the “Shade Structures” company, and had spent more than an hour with him discussing and taking measurements for shade canopies over the playground equipment at both parks. The proposals that had come back were much higher than anticipated (in excess of $55,000 for one structure at BHP and $80,000 for two structures at Venner Park, plus the added cost of lowering some of the playground equipment to rise to the ideal/proper levels beneath the canopies). The Board will need to continue discussing further ideas/options for the shade structures, as they agreed that it may not be wise to use up so much of the budget on just that one project. President Jacobs will look further into the possibility of engineering and adding a retaining wall and sidewalk to the front (North) side of the park.

Venner Park was addressed. The Safety Check List from the City was reviewed. There were no safety or maintenance issues reported in the past month.

The Office Building and Compound were addressed. The Secretary was directed to get an estimate from Unique Landscaping to remove the shrubs in front of the office building and fill the entire office compound mostly with compacted hard dirt known as “DG” (Decomposed Granite), as well as some decorative rock in front (preferably not white rock), and desert landscaping/plants. President Jacobs and Director Hayhurst determined that a “work date” to come assist the Secretary with cleaning out the kitchen cupboards be postponed again until late January or early February.

At 6:52 PM Director Wilkey began reading the quarterly Safety Review Report aloud. President Jacobs motioned to accept the report. Director Hayhurst seconded the motion. The motion carried unanimously.

The Purchasing Policy was addressed. The Board discussed the final draft of the Purchasing Policy. Director Wilkey motioned to accept the policy as presented. Director Schendel seconded the motion. The motion carried unanimously.

The General Manager didn’t have anything further to report. President Jacobs asked her about the computer. She admitted that the computer had been acting slow and freezing up a lot lately. It was determined that the computer was more than five years old and that it may be time for a new one. Director Hayhurst motioned to give the Secretary permission to spend up to $1,500 to purchase a new computer (and accessories) as needed. Director Stapp seconded the motion. The motion carried unanimously. Director Hayhurst then asked about whether or not the secretary had been able to send a copy of the transcript of the November 4th Park Dedication Ceremony to Jan Fowler yet. The Secretary had finished typing it up and emailed it to all of the Directors the week prior, but still needed to contact Jan Fowler again for an email address so she could send it to her (along with digital copies of all of the photos she had taken that day also). The Secretary will be sure to follow up and send those items to Jan Fowler.

President Jacobs asked if any of the Directors had any Reports they wanted to discuss. There were none, but President Jacobs had one item to share and discuss. He had just attended the new director orientation meeting hosted by the Mojave Water Agency that morning. He learned that there are grants available to pay for almost anything and everything and wondered if any of the other Directors knew of anyone that was good at writing/applying for grants. He hoped that perhaps a grant could help pay for shade canopies over the playground equipment, but hiring a professional grant-writer would be necessary. None of the Directors knew of anyone that might be hirable, and the expense of hiring a professional grant-writer would still not guarantee that the District would actually get any of the grant money that it applied for.

President Jacobs asked the Secretary if there were any additional bills to be presented. She indicated that there were two new bills that had just arrived; one from Verizon for $83.03 and one from The Pun Group (Auditor) for $350.00. Director Wilkey motioned to pay all of the bills as presented. Director Schendel seconded the motion. The motion carried unanimously. There was no New Business to address and no Executive Session was requested.

President Jacobs motioned to give the General Manager permission to pay all of the bills in December. Director Hayhurst seconded the motion. The motion carried unanimously.

The next Regular Meeting was scheduled for Monday, January 25th at 6:00 PM.
The meeting adjourned at 7:22 PM.
